These Terms and Conditions (“Terms”) govern your access to and use of FrogBasket (“FrogBasket,” “we,” “us,” “our,” “the App,” or “the Platform”).
By creating an account, browsing the platform, placing an order, or using any FrogBasket services, you acknowledge and agree to be bound by these Terms.
If you do not agree, you must discontinue use of the Platform.

1. Eligibility

To use FrogBasket, you must:

  • Be at least 18 years old;
  • Have the legal capacity to enter into binding agreements;
  • Provide accurate and verifiable information during registration;
  • Use the Platform in compliance with all applicable laws.

FrogBasket reserves the right to request proof of identity or eligibility at any time.

2. Use of the Service

By using FrogBasket, you agree to act responsibly and lawfully. You must not:

  • Use the Platform for fraudulent or deceptive purposes;
  • Create multiple accounts without authorization;
  • Interfere with the Platform’s operations, systems, or security;
  • Harm, threaten, or harass riders, vendors, customers, or FrogBasket personnel;
  • Circumvent platform features, pricing, or payment systems;
  • Upload false information or documents;
  • Engage in any activity that violates these Terms or applicable laws.

FrogBasket may investigate and take action—including warnings, suspension, or termination—against violations.

3. Orders & Payments

3.1 Pricing and Fees

  • Vendor pricing is determined by each individual vendor unless otherwise indicated.
  • FrogBasket may charge service fees, platform fees, and delivery fees.
  • All fees will be displayed at checkout before you confirm an order.

3.2 Payment Methods

Accepted payment methods may include:

  • Cash on Delivery (COD)
  • GCash
  • Other digital payment options as introduced

By providing payment information, you authorize FrogBasket or its payment partners to process charges for completed orders and applicable fees.

3.3 Payment Issues

Failed, disputed, reversed, or unauthorized payments may result in:

  • Temporary restrictions on your account;
  • Order cancellations;
  • Additional verification steps;
  • Legal or collection action for outstanding balances.

4. Cancellations & Refunds

FrogBasket implements structured cancellation and refund policies designed to protect buyers, vendors, and riders.

4.1 Customer-Initiated Cancellations

You may cancel an order before a vendor accepts or a rider is assigned.
Once preparation or delivery has begun, cancellation may no longer be permitted.

4.2 Vendor-Related Issues

Refunds or adjustments may be issued for:

  • Out-of-stock items
  • Incorrect or incomplete items
  • Misrepresented products
  • Vendor cancellations

4.3 Rider-Related Issues

Refunds or remedies may apply in cases of:

  • Failed delivery attempts due to rider error
  • Severe delays caused by operational issues
  • Improper handling or damage during delivery

4.4 Failed Deliveries

An order may be considered failed if:

  • The buyer is unreachable despite multiple contact attempts;
  • The delivery address provided is incorrect or unsafe;
  • Conditions prevent successful delivery (traffic restrictions, weather hazards, etc.)

4.5 Refund Processing

Refunds for digital payments (e.g., GCash) are typically processed within 1–3 business days, depending on the payment provider.

5. Limitation of Liability

To the fullest extent permitted by law, FrogBasket is not liable for:

  • Product quality issues originating from vendors;
  • Delays caused by traffic, weather, emergencies, or unforeseen events;
  • Inaccurate or incomplete delivery information provided by users;
  • Losses resulting from unauthorized account access due to user negligence;
  • Interruptions or technical issues beyond our reasonable control;
  • Any indirect, incidental, special, or consequential damages.

FrogBasket provides the Platform “as is” and makes no warranties regarding uninterrupted or error-free service.

6. Account Suspension & Termination

FrogBasket reserves the right to suspend, restrict, or terminate accounts for reasons including, but not limited to:

  • Fraudulent activity or suspicious behavior;
  • Abuse, harassment, or misconduct toward riders, vendors, or customers;
  • Repeated failed payments or chargebacks;
  • Violation of these Terms or safety protocols;
  • Security risks or operational threats;
  • Providing false or misleading information.

Terminated accounts may lose access to order history, benefits, or any ongoing services.

7. Intellectual Property

All content on the Platform—including trademarks, logos, designs, code, text, and media—belongs to FrogBasket and is protected by intellectual property laws.
Users may not copy, modify, distribute, or exploit Platform content without written permission.

8. User-Provided Content

If you submit reviews, feedback, suggestions, or uploaded materials, you grant FrogBasket a non-exclusive, royalty-free license to use such content for:

  • Improving services
  • Marketing or promotional efforts
  • Operational and safety reviews

Users are responsible for ensuring content is lawful and non-infringing.

9. Updates to Terms

We may revise these Terms to adapt to legal, operational, or technological changes.
When updates occur, the revised Terms will be posted on the Platform with a new effective date.
Continued use of the Platform constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by the laws of the Republic of the Philippines.
Any disputes arising from the use of the Platform shall be resolved through lawful channels within the appropriate jurisdiction.
